Corporate History

PT Mutuagung Lestari Tbk (“the Company”) was originally founded under the name PT Kiani Mutulestari, as stated in the Deed of Establishment No. 6 dated March 2, 1990, before Notary Jacinta Susanti, S.H., in Jakarta. The Company was officially ratified by the Ministry of Law through Decree No. C2-3293.HT.01.01.th.90 dated June 5, 1990, registered with the Jakarta District Court under No. 1233/1990 on June 19, 1990, and announced in the Supplement to the State Gazette of the Republic of Indonesia No. 2831 of State Gazette No. 64 dated August 10, 1990.

Since its establishment, the Company’s Articles of Association have undergone several amendments. Most recently, in preparation for its Initial Public Offering (IPO), the Company revised its Articles of Association through Deed No. 5 dated March 21, 2023, before Notary Rahayu Ningsih, S.H., in Jakarta.

Integrated Management System

MUTU implements an Integrated Management System to ensure consistent quality, safety, environmental responsibility, information security, and ethical conduct across all testing, inspection, and certification activities.

This system integrates internationally recognized standards—including quality management, environmental management, occupational health and safety, information security, and anti-bribery—into a single, coherent framework. It enables MUTU to manage risks, maintain impartiality, comply with regulatory and accreditation requirements, and continuously improve organizational performance.

The Integrated Management System is applied across all operational levels and is regularly reviewed to ensure its effectiveness, relevance, and alignment with international standards and stakeholder expectations.

Anti-Bribery Commitment

PT Mutuagung Lestari Tbk is committed to anti-bribery practices in carrying out all of its services, including certification, inspection, and testing, while also controlling bribery-related risks.

Any incidents of fraud, dishonesty, theft/embezzlement, violations in the procurement of goods and services, abuse of position/authority, bribery/gratification that occur within PT Mutuagung Lestari Tbk or are related to the company will be promptly investigated and reported.

PT Mutuagung Lestari Tbk analyzes reports and follows up on violations based on the evidence provided, while ensuring protection for the whistle blower.

Whistle blowers must provide at least the following information:

  1. Type of violation.
  2. Time of occurrence, such as date, day, and hour.
  3. Parties involved in the violation.
  4. Other evidence supporting the occurrence of the violation, such as transaction documents in visual, audio, or paper form.
  5. Information about other witnesses who observed the incident but were not involved in the violation.

Reports must be supported by relevant data and are intended for the benefit of the company, not to bring down an individual.

MUTU International (MUTU) is committed to anti-bribery practices in all of its services, including certification, inspection, and testing, while controlling bribery-related risks. To monitor the effectiveness of the implemented anti-bribery management system, MUTU provides a reporting service that is independently and professionally managed. The MUTU Whistleblower System is directly connected to the Anti-Bribery Compliance Function Team, which is overseen by the Board of Directors.

Violation reports may be submitted in either Indonesian or English through the provided channels.

Each report will be responded to and further investigated by the Anti-Bribery Compliance Function through procedures that protect the rights of the whistle blower. MUTU guarantees protection and confidentiality for every whistle blower. Reporting through the Whistleblowing System is conducted under the principles of anonymity, confidentiality, and independence.

Whistle blowers are encouraged to provide their identity when submitting complaints and to ensure that all information regarding their identity and reports is kept confidential.
